Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of Kleos, provided by Arthea LLC ("Arthea", "we", "us"). By using Kleos you agree to these Terms. If you are using Kleos on behalf of an organization, you agree on its behalf.

2. The service

Kleos is an operating system for influence: a platform to run paid partnerships, product gifting and affiliate programs, with creator CRM, campaign execution, attribution and automation. We may update, improve or change features over time.

3. Accounts

You are responsible for your account, for keeping credentials secure, and for activity that occurs under it. You must provide accurate information and promptly update it.

4. Acceptable use

You agree to use Kleos lawfully and not to misuse it. Our Acceptable Use & Content Policy is part of these Terms.

• No unlawful, infringing, deceptive or harmful activity.
• No attempts to disrupt, reverse engineer or gain unauthorized access to the service.
• No sending of unlawful or unsolicited communications through the platform.
• You are responsible for your campaigns and disclosures, including applicable advertising rules and the FTC's guidance on endorsements and AI-assisted content.

5. AI features

Parts of Kleos are powered by AI (for example Ask Kleos, creator scoring, and drafting outreach). AI output can be inaccurate or incomplete and is provided to assist, not replace, your judgment. You are responsible for reviewing and approving anything before it is sent, published or acted on. Mutating actions are gated behind your explicit approval. 6. Customer data and ownership

You retain all rights to the data you put into Kleos. You grant Arthea a limited license to process that data solely to provide and improve the service. We process personal data as described in our Privacy Policy and any applicable Data Processing Addendum.

7. User-generated and creator content

Kleos lets you discover, contact and collaborate with creators, and to store, send or commission content ("Creator Content" and "Your Content"). You are solely responsible for content you upload, send, publish or commission through Kleos, and for holding all rights, licenses and consents needed to use it, including music, trademarks, and the likeness and personality rights of people depicted.

Creators are independent third parties, not our agents. Kleos does not pre-screen, endorse, or guarantee any content and acts only as a conduit and tooling layer. We may remove content or suspend activity we reasonably believe is unlawful, infringing, deceptive or abusive.

If you believe content made available through Kleos infringes your intellectual-property or other rights, follow the notice-and-takedown process in our Acceptable Use & Content Policy. Where Kleos surfaces public creator profile data for discovery, creators may object to processing or request removal as described in our Privacy Policy.

8. Subscriptions and billing

Paid plans are billed in advance on the cadence shown at checkout. Fees are non-refundable except where required by law. We may change pricing with notice effective on your next renewal.

9. Third-party services

Kleos integrates with third-party platforms such as Shopify, ad networks, social platforms and the AI providers listed in our Subprocessors page. Your use of those services is governed by their own terms, and we are not responsible for them.

10. Intellectual property

Kleos, including its software, design and brand, is owned by Arthea LLC and protected by law. These Terms do not grant you rights to our intellectual property except the limited right to use the service.

11. Disclaimers

The service is provided "as is" without warranties of any kind, to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted, error-free or that results, including attribution estimates and AI output, will be exact.

12. Limitation of liability

To the maximum extent permitted by law, Arthea will not be liable for indirect, incidental or consequential damages, and our total liability is limited to the amounts you paid for the service in the twelve months before the claim.

13. Indemnification

You agree to indemnify Arthea against claims arising from your data, Your Content, your campaigns, your use of Creator Content, or your breach of these Terms.

14. Dispute resolution; binding arbitration; class-action waiver

Please read this section carefully: it affects how disputes are resolved. Except where prohibited by applicable law, you and Arthea agree that any dispute arising out of or relating to these Terms or the service will be resolved by final and binding individual arbitration administered by JAMS under its then-current rules, seated in Wilmington, Delaware, USA, rather than in court. Either party may instead bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual property.

CLASS-ACTION WAIVER: disputes will be resolved only on an individual basis. You and Arthea waive any right to participate in a class, collective, consolidated or representative action. If this waiver is found unenforceable for a given claim, that claim proceeds in court while the rest of this section still applies.

OPT-OUT: you may opt out of this arbitration agreement within 30 days of first accepting these Terms by contacting us; opting out does not affect the rest of these Terms.

MANDATORY LOCAL RIGHTS: nothing in this section limits rights that applicable law makes non-waivable. Consumers in the EU/EEA, UK and other jurisdictions retain any mandatory protections and the right to bring proceedings in their local courts where the law so provides.

15. Termination

You may stop using Kleos at any time. We may suspend or terminate access for breach of these Terms or to protect the service. On termination, you may export your data for a reasonable period.

16. Governing law and changes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules, except for mandatory consumer-protection laws of your country of residence. We may update these Terms; material changes will be posted here with an updated date, and continued use constitutes acceptance.
